These Terms and Conditions (“Terms”) govern your access to and use of the Yinmei Trade website (www.stock-goods.com) and any B2B transactions conducted with us. By accessing our website or placing an inquiry/order, you agree to be bound by these Terms.
1. Company Identity & Nature of Products
Stocklot Wholesale: We specialize in the B2B wholesale of foreign trade apparel, footwear, and home textiles (e.g., curtains, floor mats), including canceled orders, overruns, and surplus inventory.
Strictly No Second-Hand Goods: We explicitly declare that we DO NOT sell any used clothing, second-hand garments, or scrap materials. All goods are unused surplus inventory.
“As-Is” Condition: Due to the nature of stocklot and overrun inventory, slight variations in color, size ratios, labeling, or packaging may occur. All goods are sold on an “As-Is” basis. We strive to provide accurate photos, videos, and packing lists, but these are for reference purposes.
2. Use of the Website & Intellectual Property All content on this website, including texts, graphics, logos, images, and videos, is the property of Stock-Goods and is protected by international copyright laws. You may not extract, scrape, or reproduce our content for commercial purposes without our express written consent.
3. Inquiries, Quotations, and Order Confirmation
The product displays and information on our website constitute an “invitation to treat” and do not represent a legally binding offer.
Orders are only confirmed upon mutual agreement of a Proforma Invoice (PI) and the receipt of the required deposit.
Due to the fast-moving nature of stock goods, we cannot guarantee the reservation of any inventory until the deposit is fully cleared in our bank account.
4. Pricing and Payment Terms
Unless otherwise stated, all prices are quoted in USD and are based on EXW (Ex-Works) or FOB (Free on Board) terms.
The Buyer is responsible for all bank transfer fees and intermediary bank charges.
Standard payment terms (e.g., T/T deposit and balance before shipment) will be strictly detailed in the PI.
5. Shipping, Customs, and Risk of Loss
Risk of loss or damage to the goods passes to the Buyer in accordance with the agreed Incoterms (e.g., upon loading the goods onto the vessel at the port of origin for FOB terms).
The Buyer is solely responsible for all freight charges, transport insurance, import duties, taxes, and obtaining any necessary import licenses or customs clearances in the destination country.
6. Claims and Discrepancies
Inspection Period: The Buyer must inspect the goods within [15 business days] of arrival at the destination port.
Claims: Any claims regarding significant shortages or severe, undisclosed defects must be submitted to us in writing within this period, accompanied by clear photographic and video evidence.
No “Change of Mind” Returns: Given the heavily discounted nature of wholesale stocklots, we do not accept returns, refunds, or exchanges due to a change of mind, market fluctuations, or minor cosmetic discrepancies inherent to stocklot goods.
7. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STOCK-GOODS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING WITHOUT LIMITATION, LOST PROFITS, LOST REVENUE, OR LOST BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF OUR WEBSITE OR THE PURCHASE OF OUR GOODS. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO ANY ORDER SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY THE BUYER FOR THAT SPECIFIC ORDER.
8. Force Majeure Stock-Goods shall not be held liable for any failure or delay in performance under these Terms if such failure or delay is caused by causes beyond our reasonable control, including but not limited to acts of God, war, pandemic, strikes, port congestion, customs delays, or natural disasters.
9. Governing Law and Jurisdiction These Terms and all transactions between Stock-Goods and the Buyer shall be governed by and construed in accordance with the laws of the [People’s Republic of China]. Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts in [Yiwu], China.
10. Amendments We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on the website. Your continued use of the website or our services after any changes indicates your acceptance of the modified Terms.
